The 12th annual edition of the “Wiener Juristengespräche”, a highly recognised event organized by bpv Hügel focused on the topic of “Mergers and acquisitions in a changing environment”. The 2 days seminar that took place throughout 1-3 February 2008, addressed issues of large interest to law firms and investors in CEE in the area of M&A transactions and cross border transactions in particular. The speakers covered various subjects related to antitrust and competition law implications of M&A transactions, national protection mechanisms, latest fiscal developments in these types of transactions, EU Merger policy and dual headed structures for cross border transactions. The participation of all bpv LEGAL alliance law firms was an opportunity to present the latest legal developments in cross border transactions involving CEE jurisdictions like Austria, Romania, Hungary and the Check Republic.
The presentation of Anca Grigorescu addressed the issue of new legal developments and transaction struc-tures that apply to cross border transactions in CEE. Theoretical aspects of cross border transactions were illustrated in a case study that covered Romania. The aim of the presentation was to address corporate and tax implications, ownership issues (with regards to Real Estate) and to advance transactions structures proposals with the aim of facilitating investments opportunities in CEE countries.
