bpv GRIGORESCU ŞTEFĂNICĂ (bpvGS) advised on the Romanian implications of the acquisition of Heraeus Kulzer by the Japanese company Mitsui Chemicals. The scope of work included due diligence analysis on the Romanian entities and legal advice on various aspects of the transaction and the related documentation. The project was part of a global transaction involving 26 entities throughout Europe, America and Asia.

The transaction was completed on 30 June 2013 and resulted in the acquisition by Mitsui Chemicals of the dental materials business of Heraeus Holding GmbH, a company with approximately 1.400 employees in Europe, America and Asia. Sun Medical, a subsidiary of Mitsui Chemicals, has been active in the dental technology business for over 30 years and has a strong market presence in Japan. With the acquisition of the dental business from Heraeus, Mitsui Chemicals will gain access to a global platform in the dental materials business, which will accelerate the development of the Japanese chemical company which at present has over 13.000 employees globally.
