bpv GRIGORESCU STEFANICA advised RAIFFEISEN WARE AUSTRIA (RWA) and YBBSTALLER in the merger with AGRANA. The transaction was notified to the competition authorities in more than 10 countries and was authorized by the European Commission on 4 April 2012.
Raiffeisen Ware Austria (RWA) and AGRANA, a Group active in the sugar, starch and fruits industry, formed a Joint Venture by combining Ybbstaler Fruit Austria GmbH and AGRANA Juice Holding GmbH, both subsidiaries operating in the fruit concentrate business. Agrana Juice Romania Carei S.R.L. and Agrana Juice Romania Vaslui S.R.L., controlled directly by Agrana Beteiligungs + Aktiengesellschaft (AGRANA), being transferred to a company (Joint Venture) to be held by RWA together with AGRANA.
As a result of the merger, the new company operates in 14 production facilities in Austria, Denmark, Germany, Poland, Romania, Ukraine, as well as China, generating revenues of approximately EUR 350 million.
The legal assistance provided by bpv GRIGORESCU STEFANICA regarded aspects of the Romanian law of the transaction (due diligence, support for the transaction’s documentation, competition, labor relations) involving the two companies in Romania, Agrana Juice Romania Carei S.R.L. and Agrana Juice România Vaslui S.R.L. The team was led by Catalin Grigorescu (Managing Partner) and included Cristina Mihai, Cristina Randjak (Managing Associates), and Nicolae Ursu (Senior Associate).
