bpv Grigorescu Stefanica advised Raiffeisen Informatik on the sale of COMPAREX Group to SoftwareONE11 December 2018
Raiffeisen Informatik sold COMPAREX AG, a global IT services provider, to the Swiss company, SoftwareONE, through a transaction signed in October and expected to be completed in the first half of 2019.
bpv Grigorescu Stefanica acted as local counsel for Raiffeisen Informatik, the IT services company of the Raiffeisen group, in the sale of its entire participation in COMPAREX AG to SoftwareONE, a global provider of software and cloud portfolio management services, counting KKR as one of its significant investors. The transaction was signed in October 2018 and is expected to be completed in the first half of 2019.
The merged company resulting from this transaction becomes a major software licensing player, with local offices in 88 countries and more than 5,500 experts around the world. The company will support customers optimise and manage an estimated €10bn in software purchases.
bpv HUGEL (Vienna) advised as lead transaction counsel on all aspects of the transaction.
Anca Albulescu, Partner at bpv Grigorescu Stefanica, led the Bucharest team, consisting of Iulia Dragomir, Managing Associate, Radu Zmaranda, Associate, CIPP/E, and Diana Radu, Associate, who offered legal support on the local law aspects of the transaction, contributing to the legal due diligence of COMPAREX and to the relevant aspects of the transaction documentation. The deal implied close coordination with the other countries involved in this global due-diligence process.
