bpv GRIGORESCU ȘTEFĂNICĂ advised Veridion and its founders, as well as lead investor Launchub VC, participating investor OTB and the existing investors in a USD 6 million seed financing round.

Our team took an unprecedented role in advising multiple parties on this transaction. We advised new investors Launchub and OTB Ventures in connection with their investment, conducting due diligence and providing advice in connection with various legal and tax matters related to structuring, documentation, and implementation of the transaction. We further advised the founders, certain existing investors, including Gapminder VC, and the company on legal and tax matters related to the implementation of the transaction, with practice-changing work on US flip implementation.

The last year’s success of our Corporate Transactions continues into 2023, which promises to be a very active year. Recently, our firm advised enterprise software and infrastructure company INCRYS on the acquisition of IT services company USOURCE (January 2023), Innoship, and its shareholders in relation to the acquisition and the investment by Abris Capital portfolio company Alsendo (October 2022), Smart ID Dynamics and its shareholders in relation to the investment of SARMIS Capital in Smart ID Dynamics (January 2022) and on the acquisition of the Brasov-based integrated software solutions provider Spectrum (May 2022). Other notable transactions include the representation of the Scandinavian private equity investor FSN Capital on the transaction involving the acquisition of Mantis Group, a leading international WMS/ logistics software and solutions vendor (February 2022).
